By accessing or using any of Association of Independent Information Professionals (“AIIP”) internet properties including, without limitation, aiip.org, the AIIP Connections blog (blog.aiip.org), AIIP profiles on social media and any other digital services or properties operated or used by AIIP from time to time (collectively referred to as the “Sites”) you agree to comply with and be bound by these Terms of Use (“Terms of Use”). Please read these Terms of Use carefully as well as AIIP’s Privacy Policy. Using this website indicates that you have accepted these Terms of Use and the Privacy Policy. If you do not agree to the Terms of Use and the Privacy Policy, you must immediately terminate use of the Sites.

1. Proprietary Rights

1.1 The content of the Sites includes, without limitation, (i) AIIP trademarks, service marks, logos, brands, and brand names, trade dress and trade names and other distinctive identification (collectively “AIIP Marks”); and (ii) information, data, materials, interfaces, computer code, databases, products, services, software applications and tools, text, images, photographs, audio and video material, including podcasts and video presentations (whether live or recorded), and artwork, and (iii) the design, structure, selection, compilation, assembly, coordination, expression, functionalities, applications, look and feel, and arrangement of any content contained in or available through the Sites (the items identified in subsections (i) (ii) and (iii) shall be collectively referred to herein as “AIIP Content”). AIIP Content is the property of AIIP, its licensors, sponsors, partners, advertisers, content providers or other third parties and is protected by law including, but not limited to, copyright, trade secret, patent, and trademark law, as well as other state, national and international laws, treaties and regulations. The reproduction, transmission, distribution, sale, publication, broadcast, circulation or dissemination of any AIIP Content by you, or by you through any other person or entity, is prohibited unless express written consent is separately obtained from the owner of such content. For reprints or republication requests, Contact AIIP. Any use of AIIP Marks or AIIP Content without AIIP’s express written consent is strictly prohibited. You may not alter, delete, obscure, or conceal any copyright or other notices appearing in AIIP Content, including any such notices appearing on any AIIP Content you are permitted to download, transmit, display, print or reproduce from the Sites.

2. Use of Website

2.1 The contents of this website including, but not limited to, the text and images contained herein and their arrangement (collectively, the “Materials”), are the property of AIIP and are protected from unauthorized copying and dissemination by United States law and international conventions.

2.2 Reproduction of part or all of the Materials is prohibited, except that you may print or download to a hard disk extracts from this website for your personal and non-commercial use only, as long as you include on such extracts all copyright or other proprietary notices that appear on the Materials that you printed or downloaded. You may not modify the Materials or incorporate any part of the Materials in any other work, publication or website whether in hard copy, electronic or other format and you may not copy any of the Materials or distribute any of the Materials for commercial purposes without the prior written consent of AIIP.

2.3 Materials on this website available only to Members may be subject to such additional restrictions on use as are set forth in the applicable agreement between AIIP and the Member.

2.4 If you breach any of these Terms of Use, your authorization to use this website automatically terminates and you must immediately destroy any downloaded or printed materials.

3. External Links

3.1 Links to third party websites are provided solely for your convenience. If you use these links, you will leave the AIIP website. AIIP does not control these third-party websites and is not responsible for such websites, their content or any links contained on such websites. Inclusion of links to third party websites does not imply endorsement of the third-party website, the business or organization operating such website, or any material contained on such websites.

4. Viruses

4.1 Reasonable steps have been taken to protect this website, but all visitors are advised to take all necessary steps to protect themselves before downloading information from the AIIP website to ensure that no virus contamination occurs.

4.2 AIIP does not accept responsibility for any virus contracted as a result of visiting the AIIP website or any other website and will not be liable for any loss, damage, costs, expenses or claims suffered or incurred by any person as a consequence of the presence of any virus or similar item on the AIIP website or any other website.

5. Personal Login Information

5.1 Certain features and areas of the Sites are available only with registration, login, such as AIIP member account credentials and/or a paid membership. If you are required to register and select a unique login and password (“Personal Login Information”), you must keep your Personal Login Information confidential, including taking appropriate measures to maintain the confidentiality, such as logging off and closing the Internet browser, especially when you are connected to the Internet through an unsecured network or when using a public computer. Your Personal Login Information is personal to you and you may not allow any third party to use it under any circumstances. AIIP is not liable for any harm caused by or related to the theft, misappropriation, disclosure, or unauthorized use of your Personal Login Information. You must contact AIIP immediately if you become aware of or believe there is or may have been any unauthorized use of your Personal Login Information, or otherwise wish to deactivate your Personal Login Information due to security concerns.

6. No Warranties; Limitation on Liabilities

6.1 This website and the Materials are provided “as is” without representations or warranties of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title or non-infringement.

6.2 In no event will AIIP be liable for any direct, indirect, special, consequential, incidental, exemplary or punitive damages, including but not limited to loss of profits, goodwill or data, arising from or in connection with the existence, use, inability to use or the results of the use of the Materials, this website, any third party website linked to this website, or the materials contained at any such third party websites, whether based in warranty, contract, tort or any other legal theory, and whether or not AIIP has been advised of the possibility of such damages. Nothing in these Terms of Use excludes or limits liability for death or personal injury caused by the negligence or fraud of AIIP.

7. General

7.1 If any provision of these Terms of Use shall be held to be invalid, illegal or unenforceable, in whole or in part, such provision shall to that extent be deemed not to form part of these Terms of Use but the enforceability of the remainder of these Terms of Use shall not be affected.

7.2 These Terms of Use shall be governed by and enforced in accordance with the internal laws of the State of Louisiana without reference to the conflicts of provisions therein. You agree that all claims or disputes arising out of your use of the website, these Terms of Use or the Privacy Policy shall be resolved in the federal or state courts sitting in Louisiana and you specifically and irrevocably consent to the jurisdiction of, and venue in, such courts.
